Acquisitions and Dispositions

  • Represented owners in the acquisition and disposition of hundreds of multifamily properties throughout San Francisco, Oakland, Los Angeles, and other markets.
  • Represented a private equity investor in the acquisition of a 20-property portfolio through the purchase of mezzanine debt and subsequent UCC foreclosure.
  • Represented Stephens & Company in connection with the acquisition and disposition of dozens of office, R&D, and industrial properties throughout the San Francisco Bay Area.
  • Served as counsel to a family office in the acquisition, repositioning, financing, leasing, and disposition of retail centers located in California, Nevada, Hawaii, and Alaska.
  • Represented a private equity purchaser in the acquisition of a trophy property in San Francisco’s Union Square through the purchase of a defaulted CMBS loan and subsequent foreclosure.
  • Represented a technology company in the acquisition of its corporate headquarters in San Jose.
  • Represented the purchaser in the acquisition of Ghirardelli Square in San Francisco.
  • Represented the seller in the disposition of the W Hotel in San Francisco.
  • Represented the City of Sunnyvale in connection with the disposition of property as part of the redevelopment of the Town & Country project.

 

Leasing

  • Represented Blue Bottle Coffee in connection with the regional, national, and international expansion of its footprint, including lease negotiations across multiple markets.
  • Managed lease negotiation and documentation for the owner of a portfolio of approximately 100 ground-level commercial and retail spaces in San Francisco.
  • Represented owners, developers, and institutional investors in the negotiation of leases with life sciences, retail, hospitality, and other commercial users.
  • Counseled public agencies, municipalities, and private developers in connection with long-term ground leases, public-private partnerships, and development agreements for multifamily, mixed-use, and commercial projects.
  • Represented technology companies in connection with headquarters, campus, and build-to-suit lease transactions, including related expansion, renewal, and disposition matters.
  • Advised food and beverage operators, restaurants, breweries, and hospitality users in connection with flagship locations, multi-site expansion programs, and complex retail leasing transactions.
  • Represented landlords and tenants in connection with lease restructurings, amendments, assignments, subleases, and other asset management matters.
  • Counseled clients regarding exclusivity provisions, co-tenancy arrangements, operating covenants, tenant improvement obligations, use restrictions, and other leasing issues.

 

Financing

  • Represented borrowers in acquisition, construction, and permanent financing transactions, including CMBS and other structured debt products.
  • Advised sponsors, owners, and operators in the negotiation and documentation of mortgage, mezzanine, preferred equity, and syndicated credit facilities across a range of asset classes.
  • Served as counsel for borrower related to a CMBS refinancing ($815mm) of a portfolio of multifamily properties in San Francisco.
  • Represented borrowers in loan modification, deeds in lieu and other work out transactions, ranging from $10mm to $500mm.
  • Represented lenders and borrowers in connection with credit facilities related to acquisition, subscription and capital call lines.
  • Advised sponsors, owners, and operators in the negotiation and documentation of mortgage, mezzanine, preferred equity, and syndicated credit facilities across a range of asset classes.
  • Advised clients regarding intercreditor arrangements, collateral structures, guaranties, covenant compliance, and lender consent matters.

 

Joint Ventures and Related Matters

  •  Structured and negotiated joint ventures for sponsors, institutional investors, family offices, and strategic partners across a variety of asset classes and investment strategies.
  • Represented sponsors and capital partners in the formation, governance, operation, and disposition of joint ventures, including promote structures, and management rights.
  • Advised clients in connection with preferred equity investments, co-investment programs, and strategic partnerships involving domestic and cross-border investments.
  • Negotiated complex governance arrangements, including consent rights, transfer restrictions, deadlock resolution mechanisms, and fiduciary duty considerations.
  • Represented institutional investors in the underwriting and negotiation of joint venture investments, including diligence, risk allocation, and exit rights.
  • Counseled sponsors and investors regarding capital calls, default remedies, dilution provisions, and other investor protection mechanisms.
  • Advised clients on restructurings, recapitalizations, and workouts involving distressed joint ventures and investment vehicles.
  • Represented parties in connection with buy-sell procedures, rights of first offer and refusal, drag-along and tag-along rights, and other liquidity and exit arrangements.
  • Structured and negotiated management, development, operating, and services agreements ancillary to joint venture and investment transactions.

Paul J. Niewiadomski is a partner in Lubin Olson’s Business, Real Estate, and Finance & Workouts service groups and he currently serves as the Managing Partner of the firm. He advises entrepreneurs, institutional investors, developers, lenders, and closely held and family-owned businesses on complex business and real estate transactions, with a practice focused on joint ventures, recapitalizations, equity and debt financings, acquisitions and other transactions across a broad range of industries and asset classes.

Mr. Niewiadomski takes pride in the long-lasting relationships he has built over the years, with many clients he has worked alongside for decades. He has played a key role in helping companies expand regionally, nationally, and internationally. His experience includes counseling clients on governance matters, partnership and operating agreements, capital structures, market expansion strategies, and exit transactions.

Mr. Niewiadomski has been recognized for many years by Thomson Reuters as a Northern California “Super Lawyer®” (2018-2025) and has been selected by his peers for inclusion in multiple editions of The Best Lawyers in America © (2018-2026) for Real Estate law.

Mr. Niewiadomski also contributes to the well-being of his community by participating in several non-profit and civic organizations, including The Glide Foundation and the Pro Bono Project. He is a member of the Urban Land Institute, Bay Area Council and SPUR. He has spoken at a wide range of seminars and conferences on real estate and business issues for the California Mortgage Association, Marcus & Millichap, California County Counsels’ Association, and other organizations.

He is a member of the State Bar of California in the Real Property and Taxation sections and the Bar Association of San Francisco.
