Acquisitions and Dispositions

  • Represented clients in hundreds of transactions involving multifamily, retail, office, R&D, hospitality, and industrial properties exceeding $5 billion in value.
  • Represented an institutional real estate investor in the purchase of a 20-property portfolio of real estate through the acquisition and foreclosures of mezzanine debt.
  • Represented D.R. Stephens & Company in connection with the purchase and sale of office, R&D, and industrial properties in Northern California.
  • Represented a shopping center owner in the purchase and sale of centers in California, Nevada, Hawaii, and Alaska.

Leasing

  • Represented Blue Bottle Coffee in connection with the regional, national, and international expansion of its business.
  • Managed lease negotiation and documentation for a portfolio of approximately 100 ground-level commercial and retail spaces throughout San Francisco.
  • Represented San Francisco Brewing Co. in the negotiation of a lease for a craft brewery, bar, restaurant, and outdoor beer garden.

Financing

  • Represented clients in acquisition, construction, and takeout financing, including CMBS and other forms of debt.
  • Represented a client in the largest multifamily refinancing ($815 million) in San Francisco history.

Paul J. Niewiadomski is a partner in Lubin Olson’s Real Estate, Business, Leasing, and Finance & Workouts services groups. Mr. Niewiadomski’s legal practice centers on helping his clients grow and succeed. Whether they are an established real estate operator or an owner of neighborhood cafes looking to expand into an international brand, Mr. Niewiadomski helps his clients understand the legal implications of everything from partnership agreements to public relations. He works alongside clients to advise them on the strategic and legal issues related to their growth, including acquisitions, dispositions, equity, financing, and leasing. He helps entrepreneurs, investors, family-owned businesses, and other clients identify and achieve their objectives, foreseeing potential legal issues that may arise and helping them evaluate risks. By translating matters from the legal world to the business world, Mr. Niewiadomski helps his clients make smart decisions informed by pertinent legal considerations.

Mr. Niewiadomski is most proud of his established client relationships. He has worked with the majority of his clients for years, even decades, and is viewed akin to in-house counsel by many. Over this duration, he has helped owners and investors evolve into regional and nationwide operations and start-up businesses expand their influence in regional, national, and international markets. He advises his clients on everything from the difficulties of entering and exiting new markets to navigating emergent issues relating to legal and regulatory changes.

A recognized practitioner, Mr. Niewiadomski has been honored for many years by Thomson Reuters as a Northern California “Super Lawyer” (2018-2022) and was selected by his peers for inclusion in multiple editions of The Best Lawyers in America© (2018-2022) for his work in Real Estate law.

Mr. Niewiadomski also contributes to the wellbeing of his community by serving on the boards of several non-profit and civic organizations. He is a member of the Urban Land Institute (San Francisco) and NAIOP (Silicon Valley Chapter). He has spoken at a wide range of seminars and conferences on real estate and business issues for the California County Counsels’ Association, California Mortgage Association, and other organizations.

He is a member of the State Bar of California in the Real Property and Taxation sections, the Bar Association of San Francisco, and the Santa Clara County Bar Association.
