Representative Matters

  • Represented a developer in a public-private project with a redevelopment agency involving the development, financing, and leasing of a 400,000-square-foot big box shopping center. Negotiated a disposition and development agreement, master ground lease, reciprocal easement agreement, design and construction documents, construction loan documents, and leases with national, regional, and local retailers.
  • Advised a major technology company regarding its office and R&D leasing across the Western United States. Projects included negotiating a build-to-suit office building lease, the leasing of a three-building office campus, and numerous office and R&D space leases and subleases.
  • Conducted due diligence on the land use, planning, and permitting aspects of a variety of multi-family projects on behalf of an institutional real estate investment advisor. Reviewed zoning and planning codes and project approvals and investigated project status with city planning and building staff.
  • Negotiated a design and construction contract for a $140-million manufacturing facility on behalf of a major solar panel manufacturing company.
  • Negotiated design and construction contracts for multiple $100-million-plus life science developments.
  • Represented management in a leveraged buyout of a division of a Fortune 100 company, including negotiating the purchase agreement, senior and subordinated loan documents, and an inter-creditor agreement.
  • Represented an information technology company on all issues relating to its legal and business affairs, including entity formation, employment, vendor and customer contracts and disputes, and trade secrets.
  • Represented a major bank in the restructuring of a loan secured by three shopping centers located in two states.

Leon Y. Tuan is a partner in Lubin Olson’s Real Estate, Business, Finance & Workouts, Construction, and Leasing service groups. He represents entrepreneurial and institutional property owners and developers, high-net-worth individuals, financial institutions, start-ups, and major technology companies in a wide range of real estate and business transactions.

Mr. Tuan helps clients buy, sell, build, finance, and lease commercial properties of all types, including office buildings, retail properties, warehouses, manufacturing and R&D facilities, apartment complexes, and mixed-use projects. He also represents institutional and private lenders in making loans to buy, build, and refinance commercial properties and advises both lenders and borrowers in loan restructurings and loan workouts. Mr. Tuan regularly negotiates leases for office, retail, and industrial properties, representing both landlords and tenants. He has drafted and negotiated construction contracts for projects ranging from core and shell construction to major exterior and interior renovations and tenant improvement work.

Mr. Tuan advises investors and small and mid-size companies in their general business transactions, including entity formation and capitalization; acquisitions and dispositions; investments; negotiating business contracts; and shareholder and partner disputes.

Prior to entering law school, Mr. Tuan worked for a public accounting firm and earned his Certified Public Accountant license.
